These Terms govern access to and use of the FlowFinance platform ("the Service"). By creating an account or using the Service you accept these Terms. The Service is offered exclusively to businesses and professionals acting for purposes related to their trade, business or profession. Consumers are not permitted to register. By registering, you declare that you act in a professional capacity and have authority to bind the business you represent.
FlowFinance analyzes balance sheets, invoices and bank statements using automated and AI-assisted tools, and generates payment behavior, financial health and risk scores and reports. The Service is for informational purposes only. It does not constitute financial, legal, tax, accounting, investment or credit advice, and it is not a credit rating or a creditworthiness opinion issued by a regulated entity. Outputs are not a guarantee of any party's solvency or future conduct.
You must be at least 18 years old and have legal capacity. You must provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized access. You are responsible for all activity under your account.
Access requires an active paid subscription. Fees are stated exclusive of VAT and applicable taxes, and are charged in advance for each billing period. The subscription renews automatically for successive periods of the same length unless you cancel before the renewal date. We will send a reminder before each renewal of annual plans. We may change prices or plans with at least 30 days' written notice, effective from the next billing period; if you do not accept the change, you may cancel before it takes effect. Late or failed payment may lead to suspension of the Service.
6.1 Refund. You may request a full refund of the fees paid for your first subscription period within 14 days of the date of your first payment, by writing to help@flowfinance.cc. We will refund the amount within 14 days of receiving your request, using the original payment method, and your access will end upon refund. This is a contractual guarantee offered by FlowFinance; it does not constitute a statutory right of withdrawal, as the Service is offered solely to businesses.
6.2 Renewals and later payments. After the 14-day period, and for all renewal payments, fees are non-refundable, including for partial periods, unused time, unused analyses or downgrades, except where refunds are required by mandatory law.
6.3 Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
You agree not to: (a) use the Service unlawfully; (b) upload malicious code or data you are not authorized to process; (c) attempt to access other users' data or circumvent security measures; (d) reverse engineer, resell, sublicense or redistribute the Service without our written consent; (e) use the outputs as the sole basis for decisions producing legal or similarly significant effects on individuals, without meaningful human review.
You retain ownership of the data you upload ("Customer Data") and grant us a limited, non-exclusive license to process it solely to provide, secure and improve the Service in accordance with these Terms. You warrant that you have all rights and legal bases necessary to upload Customer Data, including any personal data of third parties it contains. With respect to personal data contained in Customer Data, you act as data controller and FlowFinance acts as data processor under Art. 28 GDPR, on the terms of our Data Processing Agreement, which forms part of these Terms. For our own account and usage data, FlowFinance is an independent controller as described in our Privacy Policy. We use sub-processors (including hosting and AI providers), listed at [URL]; transfers outside the EEA are made with appropriate safeguards under Chapter V GDPR.
Scores and reports are generated by automated and AI-based models, depend on the quality of the data provided, and may contain errors or omissions. You must independently verify results before relying on them. You are solely responsible for your business and credit decisions.
All rights in the Service, including software, models, scoring methodologies, trademarks and content, remain with FlowFinance and its licensors. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, and to use generated reports for your internal business purposes.
We will use reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and modify features, giving reasonable prior notice of material changes where possible.
To the maximum extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and accuracy of results.
Nothing in these Terms excludes or limits liability for willful misconduct, gross negligence, death or personal injury, or any other liability that cannot be excluded under applicable law. Subject to this, FlowFinance is not liable for indirect or consequential damages or for loss of profits, revenue, data or business opportunities, including losses arising from credit or commercial decisions based on the Service. Our total aggregate liability for all claims arising from the Service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim.
You will indemnify and hold FlowFinance harmless from third-party claims, damages and costs arising from your breach of these Terms or from Customer Data uploaded without proper authorization.
We may suspend or terminate your account with immediate effect if you materially breach these Terms; in that case, fees already paid are not refunded, except as required by mandatory law. You may stop using the Service at any time in accordance with Section 6. On termination, you may export your Customer Data for [30] days, after which we will delete it, subject to legal retention obligations. Sections which by their nature should survive termination will survive.
We may update these Terms. We will notify you at least 30 days before material changes take effect; if you do not agree, you may cancel before the effective date, otherwise continued use constitutes acceptance.
These Terms are governed by Italian law. The courts of [CITY] have exclusive jurisdiction over any dispute, without prejudice to mandatory rules.
You expressly review and approve the following clauses: 5 (automatic renewal and price changes), 6.2 (limits on refunds), 9 and 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), 15 (suspension and termination), 16 (unilateral changes), 17 (governing law and exclusive jurisdiction).
